Terms of Service

1. Acceptance of Terms

Welcome to J-ai Gateway. These Terms of Service ("Terms") constitute a legally binding agreement between you and J-ai Gateway ("we", "us", or "our") governing your access to and use of our website, API services, and related tools (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you must have your parent or guardian's permission. By using the Service, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately if you suspect unauthorized access to your account.
  • You may not create multiple accounts to circumvent rate limits or abuse prevention measures.

4. Wallet, Credits, and Payments

4.1 Pre-Paid Credits

The Service operates on a pre-paid credit model. You fund your wallet with Naira (₦) via our payment processors, and credits are deducted as you use the Service. Credits are non-transferable between accounts.

4.2 Billing Model

For media generation and tool jobs, credits are deducted before processing begins. If a job fails due to a provider or system error, credits are automatically refunded to your wallet. For chat completions, you are only charged for successful responses.

4.3 Refunds

  • Failed jobs are refunded automatically.
  • If you believe you were incorrectly charged, contact support within 30 days.
  • Refund requests for unused credits are handled on a case-by-case basis.

4.4 Price Changes

We may change pricing at any time. We will provide reasonable advance notice of material price increases. Your continued use after price changes take effect constitutes acceptance of the new pricing.

5. API Usage

5.1 API Keys

API keys are credentials for accessing the Service. You must keep them secure. You are responsible for all usage that occurs through your API keys.

5.2 Rate Limits

API keys are subject to rate limits to ensure fair usage. Rate limits are configurable per key. Exceeding rate limits will result in HTTP 429 responses. Repeated violations may result in temporary or permanent key revocation.

5.3 Model Availability

We aggregate access to multiple AI model providers. Model availability, performance, and pricing may change without notice. We do not guarantee uptime or availability of any specific model.

6. User Content

6.1 Ownership

You retain ownership of all inputs you submit and outputs generated on your behalf. We do not claim ownership over your content.

6.2 License to Process

By submitting content through the Service, you grant us a limited license to process, transmit, and store your content solely for the purpose of providing the Service to you.

6.3 Model Provider Processing

Your inputs are transmitted to third-party AI model providers for inference. Each provider has its own terms and data practices. We recommend reviewing the data practices of models you use. Where available, we indicate which providers do and do not use your data for model training.

7. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Generate content that is illegal, harmful, hateful, racist, sexist, lewd, violent, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Service or other users' accounts.
  • Interfere with, disrupt, or overload the Service or its infrastructure.
  • Circumvent rate limits, usage restrictions, or other technical safeguards.
  • Resell API access or use the Service to build a competing product without our written consent.
  • Use automated tools (bots, scrapers) to access the Service in violation of our policies.
  • Transmit malicious code, malware, or content designed to compromise AI models or systems.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Use the Service for red teaming, adversarial attacks, or prompt injection without written authorization.

Violations may result in immediate suspension or termination of your account and access, at our sole discretion.

8. Teams and Organizations

  • Team administrators are responsible for managing member access and credit limits.
  • Team members are subject to these Terms independently.
  • Admins may create and revoke API keys for team members.
  • Usage by team members counts against the team admin's wallet balance.

9. Referral Program

  • Referral bonuses are credited when a referred user successfully signs up and creates an account.
  • We reserve the right to modify or terminate the referral program at any time.
  • Fraudulent referral activity (e.g., creating fake accounts) will result in forfeiture of bonuses and potential account termination.

10. Intellectual Property

The Service, including its design, code, logos, and documentation, is owned by J-ai Gateway and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT GENERATED BY AI MODELS THROUGH THE SERVICE. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING OUTPUTS AND IMPLEMENTING APPROPRIATE SAFEGUARDS.

WE SPECIFICALLY DISCLAIM LIABILITY FOR ANY USE OF THE SERVICE IN REGULATED, HIGH-RISK, SAFETY-CRITICAL, LEGAL, MEDICAL, FINANCIAL, OR CUSTOMER-FACING CONTEXTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, J-ai Gateway SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless J-ai Gateway, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Termination

  • You may terminate your account at any time by contacting support.
  • We may suspend or terminate your access at any time for violation of these Terms or for any other reason with reasonable notice.
  • Upon termination, your remaining credit balance will be refunded through your original payment method within 30 days, except where termination is due to a Terms violation.
  • Sections that by their nature should survive termination will survive (e.g., intellectual property, liability limitations).

15. Modifications to Terms

We may modify these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use after changes take effect constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in Lagos, Nigeria.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and J-ai Gateway regarding the Service.
